These Terms of Use (“Terms”) apply to the use of the website https://www.megoafek.com/ (the “WebSite”) which is the property of Mego Afek A.C. Ltd and its affiliate (each and together, "Mego"). Please read and review these Terms carefully.

These Terms constitute a binding engagement contract between you and Mego, for all intents and purposes, and use of the WebSite, including the content contained therein and the services to be found thereon and you are therefore requested to read their provisions attentively and carefully.

Visiting the WebSite by means of any computer or other communications device (such as a cellular telephone, various kinds of tablet computers and the like) constitutes your consent to accept and to act according to the provisions of these Terms. If you do not agree to any of the conditions hereof, you are hereby requested not to make any use whatsoever of the WebSite.

Mego reserves the right to modify the Terms at any time without notice to you. Your continued use of the WebSite constitutes your acceptance of any modified Terms; you should therefore periodically visit this page to review the Terms.

Wherever the masculine gender is used in these Terms, the intention is also to  the feminine. The section headings in these Terms are intended for convenience only.

Nothing contained in the Terms or on the WebSite or the Privacy Policy shall be construed as an assignment or license of any intellectual property rights contained herein.

Please note that the use of the WebSite is intended for users over the age of 18 only. If you are under that age, you may not use the WebSite unless one of your parents (or a guardian in charge of you) has given their approval and consent to this entire Terms and to the terms of the Privacy Policy.

Intellectual Property

All of the copyrights and intellectual property on the WebSite, including any information and content and/or display that appears on the Website, including graphics, icons, design, button icons, images, audio clips, digital downloads, data compilations, verbal representation, trademarks and software, logos and any other rights relating to WebSite, are the exclusive property of Mego and/or or its content suppliers and protected by Israeli and international copyright or other laws.

Except for your non-commercial, educational, and personal use, you may not copy, reproduce, distribute, sell, adapt, modify, publicly display, print, post, download, broadcast, transmit or otherwise commercially exploit the content or the artwork displayed on this WebSite via any medium, physical, digital or otherwise, whether or not for consideration, without the prior written consent of Mego.

Any trademarks displayed on the WebSite are trademarks of Mego unless otherwise indicated, and are protected under Israeli and/or international trademark laws. All other trademarks not owned by Mego that appear in the WebSite are the property of their respective owners, who may or may not be affiliated with, connected to, or sponsored with Mego. You may not use the trademarks found on this WebSite without the prior written consent of the appropriate trademarks' owners.

Liability, security and privacy:

Mego takes the customary precautions in order to maintain, insofar as possible, the confidentiality of the information in accordance to applicable law.

Mego will make use of the private information it will recieve from you for connecting you with nearby distriboutors and will not make any other use of it.

Mego takes precautions in order to ensure that the information is safeguarded. However, Mego does not promise that the information will be absolutely immune to illegal actions, including the hacking of Mego’s computers. In any case in which Mego has acted as required by law in order to safeguard the information, but where, as a result of the performance of illegal actions, information reached a third party, you will have no complaint, claim or demand against Mego.

Mego will be entitled to provide your details in any case in which a court order instructing it to do so is received and/or under any law.

Prohibited Activities

In addition to any other restrictions described in these Terms, you may not:

(a) use the WebSite for any commercial purpose;

(b) allow, enable, or otherwise support through the WebSite the transmission of mass unsolicited, commercial advertising or solicitations via e-mail (spam);

(e) frame the WebSite, place pop-up windows over its pages, or otherwise affect the display of its pages.

(f) interfere with or disrupt the WebSite or services or networks connected to the WebSite or disobey any requirements, procedures, policies, or regulations of networks connected to the WebSite; or

(g) send any message that is unlawful, libelous, defamatory, abusive, sexually explicit, threatening, vulgar, obscene, profane, racially offensive, or otherwise objectionable, as determined by law or by Mego in its sole discretion.

MEGO DOES NOT WARRANT OR MAKE ANY REPRESENTATIONS ABOUT THE SUITABILITY OF THE MATERIALS ON THE WEBSITE FOR ANY PURPOSE. MEGO DISCLAIMS ALL WARRANTIES AND CONDITIONS OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR USE OR PURPOSE, TITLE AND NON-INFRINGEMENT and you will have no complaint, claim or demand against Mego with respect to any features, capabilities and/or limitations of the content and/or its suitability for your needs.

MEGO MAKES NO WARRANTY THAT THE WEBSITE AND/OR THE CONTENT THEREIN WILL MEET YOUR REQUIREMENTS OR THAT THE WEBSITE WILL BE UNINTERRUPTED, TIMELY, SECURE, ERROR-FREE, OR FREE OF ANY HARMFUL COMPONENTS (INCLUDING VIRUSES) and/or will be immune to unauthorized access or to damage, malfunctions, breakdowns or other failures. Furthemore, No advice or information, whether oral or written, obtained by you from Mego, through the Website shall create any warranty not expressly made herein.

TO THE EXTENT PERMITTED UNDER APPLICABLE LAW, IN NO EVENT WILL MEGO, ITS REPRESENTATIVES, AND ASSIGNS BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, PUNITIVE, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF REVENUES, PROFITS, USE, DATA, OR OTHER INTANGIBLE LOSSES (EVEN IF PARTIES WERE ADVISED OF, KNEW OF, OR SHOULD HAVE KNOWN OF THE POSSIBILITY OF SUCH DAMAGES, AND NOTWITHSTANDING THE FAILURE OF ESSENTIAL PURPOSE OF ANY LIMITED REMEDY), ARISING OUT OF OR RELATED TO THE WEBSITE, THE MATERIALS ON THE WEBSITE OR YOUR USE OF THE WEBSITE OR THE MATERIALS, WHETHER SUCH DAMAGES ARE BASED ON CONTRACT, TORT, WARRANTY, STATUTE, STRICT LIABILITY OR OTHERWISE.

Compliance with Laws; Legal Warning

Recognizing the global nature of the Internet, you agree not to use the WebSite to engage in any activity that is unlawful under the laws of any jurisdiction to which you or Mego may be subject or that violates any applicable local, state, national or international law, including the rules of any national or other securities commission or exchange.

In particular, you agree to comply with all applicable laws and rules regarding online conduct, acceptable content and the transmission and export of technical data.

You specifically agree not to do anything harmful to minors in any way, not to promote or provide instructional information about illegal activities, not to promote physical harm or injury against any individual, group or governmental entity, nor to promote any act of cruelty to animals.

Any attempt by any individual to damage, destroy, tamper with, vandalize and/or otherwise interfere with the operation of the WebSite, is a violation of criminal and civil law and Mego will diligently pursue any and all remedies in this regard against any offending individual or entity to the fullest extent permissible by law and in equity and Mego reserves the right to report any wrongdoing that it may become aware of to the applicable government agencies or to take other appropriate action permitted by law and to prevent any user who acts in contravention of the provisions of these Terms, and/or whose behavior is improper and/or any user who interferes with the proper operation of the WebSite, from having access to the WebSite and/or from the possibility of performing actions on the WebSite.

Indemnification

You agree to indemnify, defend, and hold harmless Mego, its representatives, assigns, partners, employees, advisors, officers, directors, consultants, agents, and affiliates from and against any and all third-party claims, liabilities, damages, losses, costs, expenses, fees (including reasonable attorneys’ fees and court costs) that such parties may incur as a result of or arising from: (1) any information you submit or transmit to or through the WebSite; (2) your use of the WebSite or the content contained therein; (3) your violation of these Terms; or (4) any viruses, Trojan horses, worms, time bombs, cancelbots, spyware, or other similar harmful or deleterious programming routines input by you into the WebSite.

Enforcement of Terms

Mego’s failure to exercise or enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. Should any portion of these Terms be held invalid, unlawful or unenforceable, the remaining Terms shall not be affected. The section titles in the Terms are for convenience only and have no legal or contractual effect.

Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Israel (without regard to conflict of law principles). Should a dispute arise concerning the Terms and Conditions of these Terms, or the breach of same by any party hereto, the parties agree to submit their dispute for resolution exclusively before the court of Tel Aviv, Israel.

Entire Agreement

The Terms constitute the entire and sole agreement between you and Mego with respect to your use of the WebSite and the content contained thereon.

Use of Third Party Services

When you use the WebSite, you may also be using the services of one or more third parties, such as a wireless carrier or a mobile platform provider. Your use of these third party’s services may be subject to the separate policies, terms of use, and fees of these third parties.

 

Third Party Content

The WebSite may contain links to sites maintained by third parties. Field of Leads is not responsible for the content or privacy policies of those sites, and the existence of such links should not be considered an endorsement or recommendation of those sites or of any product or service offered on those sites or of any party that is associated with those sites and Mego recommends that you review the terms and privacy policies for any and all sites that you visit.

Additional conditions

Mego is entitled to make any change in the WebSite that it will see fit, without giving notice thereof, and will be entitled to change any other aspect related to Websites. In addition, Mego is entitled to terminate the activity of the WebSite at any time, with no advance notice.

Mego is entitled to modify and/or to delete and/or to add any section and/or part of a section in these Regulations, at its exclusive discretion.

The materials on the WebSite may be out of date and Mego makes no commitment to update such material.
